Terms of Service

Effective: October 18, 2026

This document is a starting template and must be reviewed by a qualified lawyer before Paidwhere launches.

1. Who we are and what this covers

These Terms of Service (“Terms”) are an agreement between you and Apledot, the sole proprietorship in South Korea that operates Paidwhere (“Paidwhere”, “we”, “us”), for the Paidwhere apps for macOS and Windows (the “App”), the website paidwhere.com and its free tools, and the related services we run for the App, such as license activation and AI reading (together, the “Service”).

By downloading, installing or using the App, buying a plan, or using the website’s tools you agree to these Terms and to our Privacy Policy. If you use the Service for a business, you confirm you can bind that business, and “you” includes it.

2. Who can use Paidwhere

  • You must be at least 18 years old.
  • You must give a real email address you control when you join the early-access list, activate a license or buy a plan.
  • You may not use the Service if you are barred from doing so under the laws of the United States or the country you are in.

Where Paidwhere is available

  • Paidwhere is offered to people and businesses in the United States, Australia, Hong Kong, South Korea and Japan.
  • Paidwhere is not offered anywhere else, including the European Union, the European Economic Area, the United Kingdom and Switzerland, and you may not buy a plan for use there.
  • We may add countries over time and will update this list when we do.

3. What the Service does

This section explains each part of the Service, what it does, and its limits.

3.1 The App runs on your computer

  • The App watches folders you choose (an Inbox folder and, if you turn it on, your Downloads folder), reads invoices and receipts, renames them and files them into folders, and keeps a ledger.
  • Your documents, the ledger and the App’s settings are stored on your computer, in places you choose. They are not stored on Paidwhere’s servers, and we cannot restore them if they are lost. You are responsible for backing them up.

3.2 Reading documents

  • The App reads PDF text and uses your operating system’s text recognition for scans and photos, on your computer.
  • When the built-in reader cannot read a page, the App can send the text of that page (not the file) to an AI reader provided by a third party through our service, to extract values such as vendor, date, amounts, tax and currency. We do not store that text, and it is not used to train AI models.
  • Each value is linked to the line of the page it was read from. Values that cannot be confirmed are marked for your review instead of being treated as final.
  • Documents that look like medical records or bills are left unread. Receipts from payment providers’ test modes are skipped.
  • Every page read counts toward your plan’s page limit, whether the built-in reader or the AI reader reads it. Exact duplicate files are skipped and do not count.

3.3 Duplicates and currency conversion

  • The App marks an invoice as a duplicate when another file contains the same invoice. Duplicates are excluded from totals and exports, and you can restore or remove them.
  • Amounts in other currencies are converted using European Central Bank reference rates for the invoice date, or, if you add your own API key, the Korea Eximbank rate. Rates are informational and may differ from the rate your bank applied. You can enter the amount actually charged instead.

3.4 Questions

  • You can ask questions about your invoices in English, Korean or Japanese. Answers are taken from your own ledger on your computer; the App does not invent records. Questions are free on every plan.

3.5 Exports and accountant packs

  • Depending on your plan, you can export your ledger as Excel or CSV, export a ZIP of original files, get monthly accountant packs, and export import files formatted for QuickBooks and Xero.
  • Paidwhere is not affiliated with Intuit (QuickBooks) or Xero. Import formats can change; review imported data in your accounting software.

3.6 Free Invoice to CSV tool

  • The free converter on paidwhere.com runs in your web browser. The files you choose are read on your computer and are not uploaded to us. Results are provided as is, without any guarantee.

3.7 Features that are not available yet

  • Features we describe as “coming soon”, such as matching card statements, are not part of any plan until they are released. We will update these Terms before they launch.

3.8 Updates and changes

  • We improve the Service over time and may provide updates to the App and add, change or remove features. If we remove a feature that is a material part of a paid plan, we will tell you in advance and you may cancel and receive a prorated refund for the unused period.

4. Your license to the App

  • We give you a personal, non-exclusive, non-transferable license to install and use the App on computers you own or control, for your own use or your business’s internal use, within the limits of your plan.
  • A license key is for you or your business only. Do not share or resell it, and do not tamper with the App’s page count or license checks.
  • Do not copy, modify, reverse engineer or decompile the App, except where the law allows it despite this restriction.

5. Your content

  • You keep all rights to your documents and data (“Your Content”). Your Content stays on your computer.
  • When the App sends the text of a page for AI reading, you give Paidwhere a limited permission to transmit and process that text only to return the reading result to you. We do not store it, sell it or use it to train AI models.
  • You confirm that you have the right to process Your Content with the Service and that doing so does not break any law or anyone else’s rights.

6. Things you may not do

  • Use the Service to process documents you have no right to use, or content that is illegal.
  • Try to break, overload or misuse the AI reading service, the license service or the website, or use automated means to abuse the free plan or free tools.
  • Use the Service for purposes that require special certification (for example HIPAA, PCI DSS or government classified data).

7. Automated results and no professional advice

Extracted values, categories, conversions, duplicate flags and answers are produced automatically and can be wrong. You are responsible for reviewing them before you rely on them, file taxes, pay bills or share them.

Paidwhere organizes documents. It does not provide tax, legal, accounting or financial advice. The guides on our website explain where to find documents; they are not tax advice.

8. Plans, billing, automatic renewal and cancellation

  • Paid plans (Personal, Pro, Business) are billed monthly or yearly in advance. The Tax season pass is a one-time purchase of a number of pages to use within 12 months and does not renew. Prices are shown in USD on the pricing page and at checkout, plus applicable tax.
  • Our order process is conducted by our online reseller Paddle.com. Paddle.com Market Limited (“Paddle”) is the Merchant of Record for all our orders: it handles the order, payment, sales tax and VAT, invoices and refunds, and answers order and payment questions. Paddle’s Buyer Terms also apply to your purchase: https://www.paddle.com/legal/checkout-buyer-terms
  • Personal, Pro and Business subscriptions renew automatically at the end of each monthly or yearly billing period, until you cancel. The renewal price is the price you subscribed at, unless we emailed you about a change at least 30 days before.
  • Cancel anytime from your account page (paidwhere.com/account) or in the app under Settings › Plan, or email help@paidwhere.com. Cancelling takes no more steps than subscribing.
  • A cancellation takes effect at the end of the current billing period. Your plan stays active until then, you are not charged again, and you can undo the cancellation from your account page until the period ends.
  • Your files and ledger stay on your computer. After the plan ends, paid features (exports, Downloads watching, accountant packs) lock and the app continues on the Free plan.
  • Refunds: within 14 days of your first payment for a subscription or a pass, request a refund from your account page in one click, or email help@paidwhere.com. Paddle processes the refund.
  • Plan changes: change plans anytime from your account page. Upgrades take effect right away and are prorated; downgrades take effect at your next renewal. You can also switch between monthly and yearly billing.
  • Your account page shows your next renewal date, or the date your plan ends if you cancelled.
  • The Tax season pass is a one-time payment and does not renew.
  • Our refund policy is at paidwhere.com/refunds.
  • Page limits reset at the start of each billing period (calendar month on the Free plan). Unused pages do not roll over.

9. Free plan

  • The Free plan includes a small number of pages each month and the features listed on the pricing page. We may change or end the Free plan with 30 days’ notice.

10. Privacy and data protection

Our Privacy Policy explains what personal data we collect, why and where it is processed, and your rights under the laws of the countries where Paidwhere is offered. Users in Korea have a Korean-language Privacy Policy at paidwhere.com/ko/privacy.

Business customers who need data processing terms for AI reading can accept our Data Processing Addendum at paidwhere.com/dpa.

11. Your data and deleting it

  • Your documents and ledger are on your computer: you can move, copy or delete them at any time. Uninstalling the App does not delete your Paidwhere folder.
  • To delete the data our servers hold about you (such as your email address and license), email privacy@paidwhere.com. We keep billing records as long as tax law requires.

12. Third-party services

The Service relies on providers listed in our Privacy Policy, such as Paddle for payments and an AI provider for AI reading. The App can fetch exchange rates from public sources. We are not responsible for third-party services you choose to use, such as the cloud storage where you keep your folder or the accounting software you import files into.

13. Suspension and termination

  • You can stop using the Service at any time.
  • We may suspend or end your license or access to our online services if you break these Terms, put the Service or other users at risk, or if we are required to by law. Where possible we will tell you first. Your files and ledger stay on your computer.

14. Disclaimers

The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Service will be uninterrupted or error-free. Keep your own backups: we are not responsible for the loss of files stored on your devices.

15. Limitation of liability

To the extent the law allows, Paidwhere is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100.

Nothing in these Terms limits liability that cannot be limited by law, or rights you have as a consumer under the mandatory laws of your country.

16. Indemnity

If you use the Service for a business, you agree to cover our reasonable costs from claims caused by Your Content or by your breach of these Terms.

17. Governing law and disputes

[To be completed with counsel: governing law, venue and any arbitration clause.] Consumers may also rely on the mandatory consumer protection laws of the country where they live.

18. Changes to these Terms

We may update these Terms. For material changes we will tell you by email or in the App at least 14 days before they take effect.

19. Language

These Terms may be shown in other languages for convenience. If versions differ, the English version applies, except where the law of your country requires otherwise.
